INDEPENDENT CONTRACTOR AGREEMENT
(Ongoing Maintenance of Discord AI Bot)

This Independent Contractor Agreement (“Agreement”) dated this , April 23, 2026 (the “Effective Date”) is made and entered into between:

1. Engagement & Scope of Services

The Company engages the Developer to provide ongoing technical maintenance services for the Discord-based AI Coach Bot, including:

  • Uploading and updating content in Chroma DB (lessons, transcripts, PDFs, checklists, Discord data)

  • Fixing bugs, broken functions, and integration errors

  • Applying required software, library, or platform updates (AWS, Discord SDK, etc.)

  • Monitoring system performance, uptime, and usage logs

  • Maintaining prompt structure, logic, and token efficiency

  • Managing access control and role-based logic in Discord

  • Providing staff training on how to use and manage the bot

2. Compensation

The Company shall pay the Developer a fixed fee of $30 AUD per calendar month, payable via direct deposit on the 6th of each month to the nominated bank account above.

This fee covers all duties listed in Section 1 and will continue monthly until terminated per Section 6.

3. Access and Security

  • The Developer will be granted access to the platforms and systems necessary to perform their duties.

  • The Developer must ensure that the Company (Archived Press PTY LTD) retains full administrative access to all technologies and platforms used for the project, including but not limited to:

    • AWS accounts

    • Discord developer portal

    • Chroma DB instances

    • GitHub or relevant repositories

    • Vector database interfaces or bot dashboards

    • All accounts and technologies required to undertake this work

  • The Developer is responsible for setting up all systems in a way that allows the Company to:

    • Immediately revoke access to the Developer upon termination.

    • Maintain full visibility and control over configurations, permissions, and platform credentials.

4. Intellectual Property

All code, logic, prompts, configurations, databases, and assets created, maintained, or modified by the Developer for the Discord AI Coach Bot are the exclusive property of Archived Press PTY LTD.

All such materials shall be considered work for hire, and the Developer hereby irrevocably assigns all rights, including moral rights and copyright, to the Company.

5. Confidentiality

The Developer agrees to keep all Company data, business materials, student records, and internal systems strictly confidential. No content, credentials, or business insights may be disclosed to third parties without written authorization.

This clause remains in effect even after this Agreement is terminated.

6. Term and Termination

  • This Agreement is month-to-month and automatically renews on the 6th of each month.

  • The Developer must provide 30 days' written notice if they wish to terminate the Agreement.

  • The Company may terminate this Agreement immediately at its discretion.

  • Upon termination, the Developer must assist in revoking access and transferring any remaining control or credentials to the Company.

7. Independent Contractor Status

The Developer is an independent contractor, not an employee or agent of the Company. They are solely responsible for their own tax filings, government reporting, insurance, and legal compliance in their jurisdiction.

8. Governing Law

This Agreement is governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of Australian courts.

9. Entire Agreement

This document contains the entire agreement between the parties. Any changes must be made in writing and signed by both parties.
